CORPORATE AND

COMMERCIAL

Colquhoun Murphy has a particular focus on commercial and corporate law matters. Our strong business acumen allows us to understand your circumstances and provide you with tailored advice that will place you in a position to succeed.

We have experience acting for a variety of clients in this space, including national and local corporations and other organisations in fields such as not for profit, insurance, finance, property development, media, construction, information technology, franchising, training authorities, retail and hospitality.

Unlike many Canberra-based firms, Colquhoun Murphy does not act for government. We are not prevented by a conflict of interest from acting on behalf of a client in relation to their dealings with the government.

Our team understands small business and is sensitive to the issues affecting modern small businesses. For many business clients we undertake negotiations with government departments and agencies. Several of our long-term clients have seen significant business growth and our strong relationships have enabled us to support them through this process.

Our commercial and corporate expertise includes acting and advising on:

  • corporate mergers and acquisitions;

  • corporate governance, restructures and other advisory services;

  • purchases and sales of businesses;

  • purchases and sales of shares;

  • service agreements;

  • licence agreements;

  • establishment and management of joint ventures, including drafting, negotiating and advising clients in relation to joint venture agreements;

  • establishment and management of partnerships including drafting, negotiating and advising clients in relation to partnership agreements;

  • establishment and management of franchises including drafting, negotiating and advising clients in relation to franchise agreements;

  • employment contracts;

  • government procurement processes, including advice on tendering and associated probity issues;

  • government grants; and

  • intellectual property contracts.

We adopt a “preventative law” approach which puts measures in place to avoid the stress and expense associated with unnecessary disputes and litigation. We also liaise closely our clients’ accountants to ensure that their tax and other financial arrangements are properly handled.

The Colquhoun Murphy team also has experience in litigating and otherwise resolving disputes in this field and ensure a clear integration of our services in this regard should a dispute arise.
